TERMS AND CONDITIONS:
1: PURCHASE ORDERS: All purchase orders received by Genuine First Aid LLC hereunder are governed solely by the terms and conditions of this Agreement and all pre-printed terms and conditions contained on purchase orders or agreements are excluded.
2. DELIVERY TERMS. Domestic: Freight prepaid by Seller and added to Buyer's invoice. Title to products passes to Buyer upon delivery to carrier from Seller's dock. Freight Claims for product damages or shortages can be filed on our buyer's behalf by Seller with carriers if filed in writing with Sellers Customer Service within 10 business days of receipt of goods within the 48 United States.
3: FREIGHT PRE PAID TERMS: First time buyer incentive of $750.00 freight prepaid; following that Seller will assume full freight costs on orders at a $1,000.00 value and above.
4. TERMS OF PAYMENT: 30 Day Terms are extended to all customers with signed Credit Card Authorization on file. Payment is due 30 Calendar days from date of invoice for Purchase Orders above the value of $200.00USD, if Seller reasonably determines in its sole discretion that Buyer fails to qualify for the above payment terms at any time, then Seller may without notice to Buyer modify or withdraw credit terms, including but not limited to, requiring advance payment, or other security. Below the above mentioned value of $200.00 Buyer is required to make payment in full for order to be processed.
5. DELINQUENT PAYMENT: If Buyer is delinquent beyond 15 days past the due date in its payment obligation to Seller, Seller has the full right, with a signed Credit Card Authorization Form to charge Buyer's credit card the amount of the invoice due. Or upon written notice to Buyer to stop supplying and withhold future shipments until account is brought fully up to date including but not limited to late interest. Additionally Seller may at its discretion a) Repossess any and all product which has not been paid; b) charge interest on delinquent amounts at a rate of 2% per month or part thereof or the maximum rate permitted by law; c) recover any and all costs of collection, including attorney fee's as applicable; This "Delinquent Payment" clause will survive expiration or any termination of this agreement between Seller & Buyer.
6: CANCELLATIONS: Genuine First Aid does not accept cancellations of orders for custom or special manufactured products, or for non-stocked, long lead-time products after Buyer receives and accepts order confirmation.
7. RETURNS: Authorization for return of merchandise must be obtained in writing. A restocking charge of 15% will apply on the total value of returned merchandise accepted for credit provided such goods are in saleable condition, and are less then (2) years old. Credits for returned goods are valid for 60 days from the issue date. Expired product, custom product and discontinued items are non-returnable for credit. The 15% restocking fee will not be applied if product is returned within 30 days of purchase.
